The following agreement outlines your obligations when using the Philosophi website available at https://www.philosophi.ai/ or any other websites operated by Philosophi, LLC. or its subsidiaries (collectively, “Philosophi”), each a “Site.” The Site is owned and operated by Philosophi and is accessed by you under the terms described below (“Terms of Use”).

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE SITE OR ANY CONTENT ON THE SITE. By accessing the Site or any content on the Site, you agree to be bound by these Terms of Use. Philosophi retains all worldwide rights in the intellectual property of the Site and all content appearing on the Site, including trademarks, logos, graphics, text, layout, design, color combinations, and the “look and feel” of the Site. All such materials are protected by copyright, trademark, and other applicable laws.

Unless expressly permitted, no Site content or source code may be copied, reproduced, modified, distributed, transmitted, displayed, or performed for commercial purposes without Philosophi’s prior written consent.

  1. Use of Software

To the extent Philosophi provides downloadable software, applications, agents, or related documentation (“Software”), such Software is protected by applicable intellectual property laws and licensed—not sold—to you.  You may use the Software solely for your personal use or legitimate internal business purposes as a current or prospective customer, partner, or licensee of Philosophi, subject to applicable license terms. You shall not reverse engineer, decompile, disassemble, or attempt to discover source code, models, architectures, or underlying algorithms, except to the extent prohibited by law.

  1. Indemnity

You agree to indemnify and hold harmless Philosophi, its officers, directors, employees, affiliates, and partners from any claims, damages, losses, or costs (including reasonable attorneys’ fees) arising out of your access to or use of the Site, violation of these Terms, or infringement of any intellectual property or other rights.

  1. Warranty Disclaimers

The Site and all content are provided “AS IS” and “AS AVAILABLE.” Philosophi makes no warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. You access the Site at your own risk. Philosophi shall not be liable for any damages arising from your use or inability to use the Site, including direct, indirect, incidental, consequential, or punitive damages, even if advised of the possibility.

You may link to the Site’s homepage in an appropriate context. Framing, mirroring, or embedding the Site or its content without written consent is prohibited. The Site may contain links to third-party websites. Philosophi does not control and is not responsible for third-party content, availability, legality, or accuracy. Access such sites at your own risk.

All Philosophi names, logos, marks, and designs are trademarks or trade names of Philosophi. They may not be used in any manner likely to cause confusion without prior written permission.

You may not attempt to violate the security of the Site. Philosophi reserves the right to investigate suspected violations and cooperate with law enforcement authorities.

  1. United States Government Rights

Any Software is a “commercial item” as defined under applicable federal regulations. Government use is restricted to rights expressly granted under the applicable license agreement.

  1. Miscellaneous

These Terms constitute the entire agreement regarding Site use. Philosophi may pursue any legal or equitable remedies for violations. Failure to enforce any provision does not waive future enforcement.
